Welcome to WhatsWhat.ng, the multifunctional media commerce platform managed and operated by WhatsWhat Media (“we,” “us,” or “our”).

Please read these Terms of Use (“Terms”) carefully before using the Service. Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.

By accessing the platform, creating an account, or using any feature of our services, you agree to be bound by these Terms of Use, our Privacy Policy, and any applicable community guidelines. We may update these terms at any time. By continuing to use the site, you accept the new terms, so please review them regularly. If you disagree with any part of the terms, you do not have permission to access the Service.

1. Accounts

Eligibility: When you create an account with us, you guarantee that you are at least 18 years old or have legal parental/guardian consent to use the Platform, and that the information you provide is accurate, complete, and current at all times. Inaccurate, outdated, or incomplete information may result in the immediate suspension or termination of your account.

Security: You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to accept full responsibility for all activities, actions, or transactions that occur under your account. You must notify us immediately at hello@whatswhat.ng if you become aware of any security breach or unauthorized use of your account.

Usernames: You may not use a username that impersonates another person or entity, is protected by trademark or proprietary rights without authorization, is not lawfully available for use, or is offensive, vulgar, or obscene. We reserve the right to reclaim or force the forfeiture of usernames that violate these principles.

2. Overview of Services

Our Service offers a combination of features designed to empower users and creative brands:

  • Infotainment: A digital hub featuring curated global updates, entertainment news, and user-generated/editorial content. Users can access, read, and engage with a variety of informational content including news, articles, interviews, events, and multimedia.
  • Free Market: A free-to-list P2P marketplace for buying, selling, or exchanging goods and services. Users can list, sell, and make purchases directly from other users. WhatsWhat.ng acts solely as a technological facilitator and does not take ownership, custody, or possession of items listed or sold.
  • Hype Link: Specialized promotional tools and branding features for creators, designers, artists, and businesses to publicize events, creative projects, talents, and portfolios. Users can leverage these tools for portfolio displays, social media integration, and visual promotional campaigns.

3. Content

User Responsibility: Our Service allows you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, portfolios, listings, or other materials (“Content”). You are solely responsible for the Content you post, including its legality, reliability, originality, and appropriateness.

Warranties: By posting Content, you represent and warrant that:

  • You own the Content or have the legal right to use it and grant us the rights and license provided in these Terms.
  • Your Content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other intellectual property rights of any person or entity.

Ownership & Licensing: You retain all of your ownership rights to any Content you submit, post, or display on or through the Service. However, by posting Content, you grant WhatsWhat.ng a non-exclusive, royalty-free, transferable, sub-licensable, worldwide, perpetual license to use, modify, adapt, publicly perform, publicly display, reproduce, promote, and distribute such Content in any and all media or distribution methods now known or later developed.

Monitoring: WhatsWhat.ng has the right, but not the obligation, to monitor, screen, edit, or delete user-generated Content at any time without notice if we determine, in our sole discretion, that it violates these Terms, our community standards, or applicable Nigerian laws.

4. Marketplace Specific Terms

Listings: Sellers and promoters are entirely responsible for the accuracy, legality, safety, and truthfulness of their marketplace listings, including product/service descriptions, images, pricing, and availability. All listings must comply with applicable local laws and platform content guidelines. Prohibited items include illegal substances, counterfeit goods, weapons, and regulated services.

Peer-to-Peer Nature: All dealings, negotiations, and transactions executed through the marketplace are solely between the respective buyer and seller/promoter. WhatsWhat.ng is not a party to, broker of, or guarantor of these transactions. We assume no responsibility or liability for the quality, safety, legality, merchantability, or any other aspect of the items or services listed or sold.

Safety Guidelines for Buyers:

  • Buyers must carefully view item details and verify seller authenticity before initiating contact.
  • Buyers are advised to schedule physical item inspections only during daytime hours and in populated, public locations, ideally in the company of one or more companions.
  • Zero Pre-payments: Buyers must never make payments — including delivery fees, mobilization fees, or holding deposits — to anyone prior to physically inspecting and receiving the item(s) of interest.

Liability Disclaimer: While we may provide messaging tools to facilitate communication and may assist with basic dispute resolution, WhatsWhat.ng, its parent company, directors, and employees shall not be held liable for any loss of funds, fraudulent encounters, or damages arising from marketplace transactions. Users are solely and strictly accountable for their interactions and transactions.

5. User Conduct and In-App Messaging

Acceptable Messaging Conduct: The platform provides in-app messaging capabilities to facilitate communication between buyers, sellers, and community members. You agree to use the messaging features strictly for lawful, professional, and respectful communication.

Prohibited Conduct: You agree not to use the Service or in-app messaging to:

  • Harass, abuse, threaten, stalk, or defame any other user, administrator, or third party.
  • Send spam, unsolicited advertisements, chain letters, phishing attempts, or high-volume commercial solicitations.
  • Distribute, link to, or upload offensive, sexually explicit, pornographic, hateful, racially prejudiced, or legally restricted content.
  • Circumvent marketplace security or safety tools, including attempting to deceive users into off-platform payment schemes that violate our safety policies.
  • Harvest or collect personal data, email addresses, or phone numbers of other users without their explicit, documented consent.

Enforcement: We reserve the right to monitor messaging metadata, investigate reports of abuse, and immediately suspend or permanently ban accounts found to be in violation of these conduct rules.

6. Fees, Payments, and Subscriptions

WhatsWhat.ng operates a hybrid model. While core features of the platform may be accessed for free, certain premium features, subscriptions, and promotional options are subject to fees.

Peer-to-Peer Transactions: Currently, P2P transactions occur directly between buyers and sellers off-platform. If WhatsWhat.ng introduces integrated digital checkout features or escrow payment processing in the future, such transactions will be processed via accredited third-party payment gateways (e.g., Paystack, Flutterwave). Transactions will be subject to applicable commission fees, processing rates, and the terms of service of the payment processors.

Recurring Subscriptions (Creative Brand Toolkit): Premium branding, analytical tools, and advanced toolkit features are offered on a subscription basis (monthly or annually).

  • Billing: By signing up for a premium plan, you authorize WhatsWhat.ng to charge your designated payment method recurring fees in advance of each billing cycle.
  • Cancellations & Refunds: You may cancel your subscription at any time through your account settings. Subscriptions will remain active until the end of the paid billing cycle. Unless mandated otherwise by applicable Nigerian consumer protection laws, all subscription payments are non-refundable.

Boosting Listings and Sponsored Content (Hype Link / Marketplace): Users may purchase one-time boosts, featured listings, or sponsored banner ad placements to increase visibility.

  • Payment & Activation: Fees for boosting listings are payable upfront. The boost or promotion will only be activated once payment is fully cleared and verified.
  • No Guarantee of Outcome: Paid promotions guarantee impressions or placements as described on the billing page, but WhatsWhat.ng does not guarantee increased sales, traffic, conversions, or user engagement.

7. Intellectual Property and Copyright Clause

Platform Proprietary Rights: The Service and its original content (excluding user-generated Content), features, design, source code, user interface, brand assets, and functionality are and will remain the exclusive property of WhatsWhat Media and its licensors. The Service is protected by the Copyright Act (2022) of Nigeria, trademark laws, and international treaty provisions. Our trademarks, logos, and trade dress may not be utilized in connection with any product or service without our prior written consent.

Copyright Policy / Takedown Procedure: We respect the intellectual property rights of others and expect our users to do the same. If you are a copyright owner or an authorized agent thereof and believe that any Content hosted on WhatsWhat.ng infringes upon your copyrights under the Nigerian Copyright Act (2022) or international intellectual property frameworks, you may submit a formal Copyright Takedown Notice to our designated agent.

Takedown Requirements: Your notice must be sent to hello@whatswhat.ng and must include:

  • A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
  • Identification of the copyrighted work claimed to have been infringed, or, if multiple works are covered by a single notification, a representative list of such works.
  • Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material (e.g., precise URL).
  • Information reasonably sufficient to permit us to contact you, such as an address, telephone number, and, if available, an email address.
  • A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law.
  • A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

8. Links to Other Websites

Our Service may contain links to third-party websites, plug-ins, or digital services that are not owned, operated, or controlled by WhatsWhat.ng.

WhatsWhat.ng has no control over, and assumes no responsibility for, the content, accuracy, privacy policies, safety, or practices of any third-party websites or services. We do not endorse or warrant the offerings of any of these entities, individuals, or external websites.

You acknowledge and agree that WhatsWhat.ng shall not be responsible or liable, directly or indirectly, for any damage, loss, or financial harm caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites, applications, or services that you visit.

9. Termination

Termination by Us: We reserve the right, without prior notice, liability, or explanation, to suspend, terminate, or restrict your access to the Service, and to delete or deactivate your account, at our sole discretion, for any reason whatsoever. Reasons include, but are not limited to, a breach of these Terms, non-payment of subscription fees, suspected fraudulent activities, or actions that undermine the security and integrity of the platform.

Termination by You: If you wish to terminate your account, you may do so through your account dashboard or by ceasing all use of the platform.

Survival: All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, licensing grants, warranty disclaimers, indemnity, and limitations of liability.

10. Indemnification

You agree to defend, indemnify, and hold harmless WhatsWhat.ng, its parent company WhatsWhat Media, its licensees, licensors, affiliates, and their respective employees, contractors, agents, officers, and directors from and against any and all claims, damages, liabilities, obligations, losses, costs, debts, and expenses (including but not limited to reasonable attorney’s fees) arising out of or resulting from:

  • Your access to and use of the Service.
  • Your violation or breach of these Terms or any applicable laws.
  • Content posted, uploaded, or transmitted by you through your account.
  • Your transactions, conduct, or disputes with other users of the marketplace.

11. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall WhatsWhat.ng, nor its parent company, directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, revenue, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of, or inability to access or use, the Service.
  • Any conduct or content of any third party or user on the Service, including defamatory, offensive, or illegal conduct.
  • Any content obtained or transactions completed through the Service.
  • Unauthorized access, use, or alteration of your transmissions, messages, or content.

Whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not we have been informed of the possibility of such damage, our total collective liability for any claim arising out of these Terms shall not exceed the amount paid by you to WhatsWhat.ng in the three (3) months preceding the event giving rise to liability.

12. Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

WhatsWhat.ng, its subsidiaries, affiliates, and its licensors do not warrant that:

  • The Service will function uninterrupted, secure, or be available at any particular time or location.
  • Any errors, bugs, or defects will be corrected.
  • The Service is free of viruses, malware, or other harmful digital components.
  • The results of using the Service will meet your specific business or personal requirements.

13. Exclusions and Statutory Rights

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not fully apply to you.

If any part of these limitations or exclusions is deemed invalid, unenforceable, or contrary to the mandatory provisions of Nigerian law (including the Federal Competition and Consumer Protection Act, FCCPA), the maximum extent of the limitation or exclusion permissible under such law shall apply. It will be modified to the minimum extent necessary to comply with that law. Your statutory rights as a consumer under Nigerian law are not affected by these exclusions and limitations.

14. Governing Law

These Terms shall be governed by, construed, and enforced in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction in Nigeria, the remaining provisions of these Terms will remain in full force and effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify, update, or replace these Terms at any time.

Notice of Material Changes: If a revision is material, we will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Notices will be posted on our homepage, sent via email, or displayed through an account notification.

Acceptance: By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
